By accessing or using the Starduxe website at starduxe.com ("the Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services.

These Terms apply to all visitors, clients, and others who access or use the Site.

Starduxe provides digital services including web development, mobile app development, UI/UX design, branding and identity, digital marketing, e-commerce development, AI and automation solutions, and cloud infrastructure services.

The specific scope, deliverables, timelines, and pricing for any project are agreed upon separately in a written project agreement or statement of work ("SOW") between Starduxe and the client. These Terms apply in addition to any such agreements.

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable local, national, or international laws or regulations • Transmit any unsolicited or unauthorised advertising or promotional material • Attempt to gain unauthorised access to any part of the Site or its related systems • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site • Use automated tools to scrape, crawl, or extract data from the Site without our prior written consent

We reserve the right to terminate access to the Site for any user who violates these conditions.

All content on this Site — including text, graphics, logos, images, and software — is the property of Starduxe or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of any content from this Site without our express written permission.

Regarding client projects: ownership of final deliverables is transferred to the client upon receipt of full payment, as outlined in the applicable project agreement. Starduxe retains the right to display completed work in our portfolio unless otherwise agreed in writing.

All client engagements are governed by a separate project agreement or SOW. The following general terms apply to all projects:

• A deposit is required before work commences (percentage agreed per project) • Changes to scope outside the agreed SOW may incur additional charges • Timelines are estimates and may be affected by client feedback delays or third-party dependencies • Final files and source code are delivered upon receipt of final payment • Starduxe is not liable for delays caused by client-side approvals, content provision, or third-party services

Payment terms are specified in each project agreement. General terms:

• Invoices are due within 14 days of issue unless otherwise agreed • Late payments may incur interest at 1.5% per month on the outstanding balance • Starduxe reserves the right to pause work on overdue accounts • All prices are exclusive of applicable taxes unless stated otherwise

Both parties agree to keep confidential any proprietary or sensitive information shared during a project engagement. This includes but is not limited to business strategies, technical specifications, financial data, and client information.

This obligation of confidentiality survives the termination of any project agreement.

To the fullest extent permitted by law, Starduxe shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business — arising from your use of the Site or our services.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Starduxe in the three months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

The Site and its content are provided "as is" without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

We make no representations about the accuracy, completeness, or suitability of the information on the Site for any purpose.

The Site may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

Linking to our Site from a third-party site does not imply endorsement by Starduxe.

We reserve the right to terminate or suspend access to the Site at any time, without notice, for any reason including breach of these Terms.

All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the relevant courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

We reserve the right to update these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
